General Terms and Conditions (GTC)

These General Terms and Conditions (GTC) form an integral part of the contract concluded between rs-nano.pl sp. z o.o., based in Wrocław (ul. Drzewieckiego 19D, 54-129 Wrocław), registered in the National Court Register (KRS) under KRS No. 0000977816, VAT ID: PL8943189191 (hereinafter referred to as the “Provider”) and a natural person, legal entity, or other organizational unit (hereinafter referred to as the “User”).

1. Scope

These General Terms and Conditions apply to all contracts that you, as a customer, conclude with us, rs-nano.pl sp. z o.o., based in Poland, via our online shop. Customers within the meaning of these GTC are both consumers and business customers.

Conflicting or deviating terms and conditions of the customer shall not apply unless we expressly agree to them in writing.

2. Conclusion of Contract

The presentation of products in our online shop does not constitute a legally binding offer, but rather a non-binding invitation to submit an inquiry. You can initially inquire about our products without obligation via the contact form on the respective product pages. You will then receive a binding offer from us. The purchase contract is concluded only when you transfer the purchase amount to the account specified in the offer (advance payment). The validity period of the offer must be observed. There is no entitlement to the conditions stated in the offer if the payment is received after the offer has expired.

3. Prices and Payment Terms

The prices listed in our online shop are in euros unless otherwise indicated. The prices are net amounts and do not include statutory VAT. Additional delivery and shipping costs are stated separately in our offer and clearly indicated.

Payment can only be made in advance by bank transfer. The payment is due by the validity date specified in the offer. Our bank details are also included in the offer.

4. Delivery and Shipping Terms

We deliver within the European Union and to non-EU countries (upon request). The goods are shipped from the warehouse of our partners (third parties) to the delivery address you provide.

Delivery time depends on the product's availability and your delivery address. Unless otherwise specified, our partners ship available goods within approximately 2–5 business days. Shipping to countries outside the EU may take longer due to customs clearance.

For deliveries to countries outside the EU, additional taxes or charges (e.g. customs duties, import VAT) may apply, which you as the customer are responsible for. These fees are not included in the purchase price or shipping costs and must be paid directly by you to the relevant customs or tax authorities. Please contact the authorities in your delivery country for more information on any applicable duties or taxes.

Please inspect the goods upon delivery, as far as reasonable, for external transport damage. Any obvious damage to the packaging or goods should be reported to the carrier immediately and documented with photos. Please inform us of any transport damage afterward so that we can assert claims against the carrier.

5. Right of Withdrawal for Consumers

If you are a consumer residing in the EU, you have a statutory right of withdrawal for goods ordered via our online shop. This means you may cancel the contract within 14 days of receiving the goods without giving any reason. The withdrawal period is fourteen days from the day you or a third party nominated by you (who is not the carrier) takes possession of the last item of your order.

No right of withdrawal for business customers: This right does not apply to contracts with business customers. Customers who act in a commercial or self-employed professional capacity when purchasing (B2B customers) do not have a statutory right of withdrawal.

To exercise your right of withdrawal, you must inform us via email (contact form) with a clear statement of your decision to cancel the contract. It is sufficient to send your notice before the 14-day period expires. We will confirm receipt of your cancellation within 24 hours on business days via email.

If you withdraw from the contract, we will reimburse all payments received from you – including delivery costs (except additional costs incurred because you chose a delivery method other than the cheapest standard delivery we offer) – promptly and at the latest within 14 days from the date we receive your withdrawal notice. We will use the same payment method you used for the original transaction unless otherwise agreed. We may withhold the refund until we have received the returned goods.

You must return the goods promptly and in any event no later than 14 days from the date you notify us of the cancellation. The deadline is met if you send the goods before the 14-day period expires. You bear the direct cost of returning the goods unless we have expressly agreed to bear them. Please pack the goods carefully, if possible, to avoid transport damage.

You are only liable for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature, characteristics, and functionality. In other words: you may test the product as you would in a retail store. If you use the goods in a way that reduces their value (e.g. putting a measuring device into operation beyond basic testing), we reserve the right to claim compensation for loss of value.

6. Retention of Title

We retain ownership of the delivered goods until full payment of the purchase price and all related claims from the delivery transaction. Until full payment of the invoice amount, you as a consumer may not dispose of the goods, particularly not resell, pledge, or gift them.

If the customer is a business, the retention of title extends until all claims from the ongoing business relationship are settled in full. The business customer may resell the goods in the normal course of business but hereby assigns to us all claims arising from such resale up to the invoice amount. We hereby accept this assignment. Even after the assignment, the business customer remains authorized to collect the claims, provided they meet their payment obligations to us and are not in default. If third parties seize the goods subject to retention of title (e.g., through garnishment), the business customer is obliged to point out our ownership and notify us immediately so we can enforce our rights.

7. Warranty

The buyer's rights regarding defects in the delivered goods are governed by statutory regulations, unless otherwise agreed below. If you are a consumer, you are entitled to the statutory warranty rights. This means we are liable for ensuring the goods are free from defects that impair or negate their usability at the time of delivery. The legal warranty period for new goods is two years from the date of receipt.

If you are a business, the warranty period for new goods delivered by us is 12 months from the transfer of risk. Businesses must inspect the goods immediately upon receipt and report any defects in text form without delay. If no timely complaint is made, the goods are considered accepted. Obvious defects not reported in time are excluded from the warranty. The 12-month warranty period does not apply if we have fraudulently concealed a defect or have given a guarantee regarding the condition of the goods.

9. Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR). Consumers can use this platform to resolve disputes arising from online purchase contracts out of court.

However, we are neither willing nor obliged to participate in a dispute resolution procedure before a consumer arbitration board. If there are any disagreements or issues with a purchase, you can of course contact us directly at any time – we strive to resolve any differences amicably.
